1. Introduction

These Terms of Service ("Terms") govern your use of mirogiovannini.com (the "Site") and the marketing services provided by Miro Giovannini ("we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms.

2. Services

We provide marketing services including but not limited to: website design and development, search engine optimization (SEO), Google Ads management, Meta Ads management, and marketing consulting. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a written proposal or agreement.

3. Service Agreements

• Proposals: Each project or service engagement begins with a written proposal outlining scope, pricing, timeline, and deliverables.
• Acceptance: Services begin only after you accept the proposal in writing (email confirmation is sufficient).
• Changes: Any changes to scope or deliverables will be discussed and agreed upon before implementation.

4. Payment Terms

• One-time projects (websites, setup): Payment schedule as defined in the proposal (typically 50% upfront, 50% at launch).
• Monthly services (ads management, maintenance): Billed monthly. Payment due within 7 days of invoice.
• Ad spend: Advertising budgets are paid directly to the platforms (Google, Meta) by the client. We do not handle or bill for ad spend.
• Late payments: Services may be paused if payment is more than 14 days overdue.

5. Intellectual Property

• Website code and design: Upon full payment, you own the website code, design, and content we create for you.
• Ad campaigns: Campaign structures, ad copy, and strategies created for your account are yours.
• Our tools and methods: Our proprietary processes, templates, and methodologies remain our intellectual property.
• Third-party assets: Stock photos, fonts, and other licensed assets are subject to their respective licenses.

6. Client Responsibilities

You agree to:

• Provide timely access to accounts, assets, and information needed to deliver services
• Review and approve deliverables within a reasonable timeframe
• Maintain ownership and access to your domain, hosting, and ad accounts
• Ensure all content you provide (text, images, logos) is legally yours to use

7. Termination

• Websites (one-time projects): Non-cancellable once work has begun. If you need to pause, we'll work out a reasonable arrangement.
• Monthly services: Either party may cancel with 30 days' written notice. No long-term contracts.
• Upon termination: You retain ownership of all deliverables. We will provide a transition period to ensure continuity.

8. Website Hosting

• First year: Hosting is included for 12 months after website launch at no additional cost.
• After year one: You may subscribe to our maintenance plan ($150/month, includes hosting) or migrate to your own hosting solution. We will assist with the transition.

9. Results Disclaimer

Marketing results depend on many factors including market conditions, competition, budget, timing, and your business operations. While we apply proven strategies and best practices, we cannot guarantee specific results, rankings, or revenue outcomes. We commit to transparency — you'll always know what we're doing and what the data shows.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total fees paid to us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Confidentiality

We will treat your business information, analytics data, and strategy details as confidential. We will not share your proprietary information with competitors or third parties without your consent. We may reference our working relationship (e.g., listing your business as a client) unless you request otherwise.

12. Governing Law

These Terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of Los Angeles County, California.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site after changes constitutes acceptance.
